Introduction
Derby Cars – Driven by Derby Co-operative Project is a founder-member, driver-led network of licensed private hire operators working together across Derby. Built with a co-operative mentality, it connects independent operators to local passenger demand through a shared dispatch platform with transparent fees and full operator control.
This is not an employment arrangement. Instead, it is a collaborative system designed to support local licensed operators, provide flexible access to work opportunities and keep value within Derby’s driver community.
This Founder Member Operator Agreement sets out the terms under which operators participate in the project and use its services.

Founder member operator agreement
This Agreement explains the relationship between Derby Cars – Driven by Derby Co-operative Project (licenced with Derby – Derby Cars) (“the Platform”, “we”, “us”) and licensed private hire operators (“you”, “Operator”).
1. Purpose of the Platform
Derby Cars is a licensed private hire operator with a digital dispatch platform based in Derby.
We connect passengers with licensed private hire operators through an app-based ride request and dispatch system.
2. Independent Operator Status
You operate as an independent licensed private hire operator at all times.
Nothing in this Agreement creates:
- Employment
- Worker status
- Partnership
- Agency relationship
You are responsible for how you run your business, including accepting or declining any job offered.
3. Founder Member Status
Founder Member status is a voluntary membership available to early participating operators.
To remain a Founder Member, a valid subscription must be maintained.
If subscription payments stop, Founder Member access and platform use may be paused until reinstated.
Founder Member status does not guarantee work, income or job volume.
4. How Jobs Are Offered
Jobs are offered through an automated dispatch system via the app.
You may choose whether to accept each job.
We do not guarantee:
- Job volume
- Job frequency
- Earnings or income levels
5. Fees and Charges
Founder Members pay:
- £5.00 per week subscription
- 3% of job value + £0.15 per completed job
These fees cover:
- Platform operation
- Dispatch system maintenance
- Payment processing
- Administrative costs
No additional commission is charged beyond what is stated above.
6. Responsibilities of the Operator
You agree to:
- Hold and maintain valid private hire licensing
- Maintain appropriate insurance at all times
- Comply with all applicable laws and regulations
- Provide safe and professional service to passengers
- Pay all taxes and business-related obligations
7. Responsibilities of the Platform
We agree to:
- Provide access to the dispatch platform for active members
- Offer a fair and automated job distribution system
- Maintain and operate the booking and payment system to a reasonable standard
We do not control your working hours, acceptance of jobs or business operations.
8. Liability
Each party is responsible for its own legal obligations and actions.
You are responsible for the services you provide to passengers, including safety and compliance.
We are responsible for operating the platform and dispatch system.
Nothing in this Agreement limits liability for fraud, gross negligence, or any liability that cannot be excluded by law.
9. Suspension and Termination
You may leave the platform at any time by cancelling your subscription.
We may suspend or end access if necessary, including where:
- Subscription payments are not maintained
- Legal or licensing requirements are not met
- Serious misconduct or safety concerns arise
Where possible and appropriate, we will provide notice and an opportunity to resolve issues before termination.
10. Data and Privacy
Both parties agree to handle personal data in accordance with applicable UK data protection laws, including GDPR.
11. Disputes
If a dispute arises, both parties agree to try to resolve it informally first.
If unresolved, disputes will be governed by the laws of England and Wales and handled by the courts of England and Wales.
12. Acceptance
By subscribing and using the platform, you confirm that you have read, understood, and agree to this Agreement.
Amendments to this Agreement
We may update or amend this Agreement from time to time where reasonably necessary, including for legal, operational, or regulatory reasons.
Where changes are material, we will provide reasonable notice to Operators before they take effect.
Continued use of the platform after any updates take effect will constitute acceptance of the revised terms.
